Terms of Service

These Terms of Service ("Terms") govern your access to and use of HIBR ERP ("Service") provided by Hibr AI ("we", "us"). By signing up, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
HIBR ERP is a UAE-built SaaS suite providing ERP, POS, tax compliance (VAT 201 and Corporate Tax), and online-store functions for SMBs operating in or trading with the UAE. The Service is provided on a subscription basis at the tiers published on the pricing page.
2. Account & eligibility
- You must be at least 21 years old and authorized to bind your company.
- You must provide accurate registration data, including a valid UAE trade-license number for tax features.
- You are responsible for safeguarding your credentials and for all activity under your account.
- Each user requires their own login. Shared logins are a Fair Use violation (Section 7).
3. Subscriptions, billing & trial
- Tiers: Lite (199/mo), Pro (499/mo), Enterprise (14,990/yr + free one-time setup). All prices exclusive of 5% UAE VAT.
- Lite tier offers a 14-day free trial without a credit card. Pro and Enterprise tiers require billing details upfront.
- Subscriptions auto-renew monthly or annually (annual = 10× monthly, billed in advance).
- You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period. No prorated refunds for partial months.
- Failed payments trigger a 3-attempt dunning sequence over 14 days. After 14 days unpaid, the account is suspended (read-only); after 60 days unpaid, exported and archived.
4. Tax-filing services
HIBR ERP generates VAT 201 and Corporate Tax CT-201 returns from your transactions and, on your explicit instruction, submits them to FTA EmaraTax via the EmaraTax API.
- You remain the legal taxpayer. You are responsible for the accuracy of underlying transactions and for review and approval of each return before submission.
- We do not provide tax advice. The AI Tax Co-pilot provides information referenced to UAE law but is not a substitute for a qualified UAE tax agent.
- We are not liable for FTA penalties resulting from incorrect data you provided or returns you approved before submission.
5. Acceptable use
You will not:
- Use the Service for any illegal activity, including tax evasion, AML/CFT violations, or sanctions evasion
- Attempt to reverse-engineer, decompile, or extract source code from the Service
- Resell, sublicense, or white-label the Service without a separate written partner agreement
- Upload malicious code or attempt to disrupt the Service
- Scrape, automate, or otherwise abuse the Service beyond documented API limits
6. AI features
HIBR ERP includes AI features (Tax Co-pilot, Receipt OCR, Cash Flow Forecaster, Audit Pack Generator, and others). AI outputs are informational and probabilistic — they assist you, they do not replace professional judgment. Always review AI-generated content before submitting to authorities, signing contracts, or making financial decisions.
We do not train AI models on your data without your explicit, separate consent. Inputs to AI features are processed by Anthropic under zero-retention API mode where available.
7. Fair use
- Tier limits (users, locations, monthly transactions) are published on the pricing page
- API and integration call quotas are documented in the developer portal
- If you exceed limits, we will notify you and recommend the appropriate tier. Repeated abuse may result in throttling or suspension.
8. Your data
You own your data. We process it only to provide the Service, as described in the Privacy Policy. On account termination, you may export all data in standard formats (CSV, JSON, OFX, PDF) for 30 days, after which we delete it unless retention is required by UAE law (typically 5 years for financial records per Federal Decree-Law 8/2017 Article 78).
9. Intellectual property
The Service, including the HIBR ERP brand, software, AI prompts, and documentation, is owned by Hibr AI and protected by UAE and international IP law. We grant you a limited, non-exclusive, non-transferable license to use the Service for your own business operations during your active subscription.
10. Service levels & uptime
- Target uptime: 99.9% monthly, measured at the application layer, excluding scheduled maintenance windows (announced 7 days in advance)
- If we miss the SLA, you receive service credits as published in the SLA appendix
- Support response SLAs (next business day for Lite, 4 hours for Pro, 1 hour for Enterprise) cover support availability, not resolution time
11. Warranty disclaimer
The Service is provided "as is" and "as available". To the maximum extent permitted by UAE law, we disclaim all implied warranties (merchantability, fitness for a particular purpose, non-infringement). We do not warrant that the Service will be uninterrupted, error-free, or that AI outputs will always be accurate.
12. Limitation of liability
To the maximum extent permitted by UAE law, our aggregate liability arising from these Terms is limited to the fees you paid for the Service in the 12 months preceding the event giving rise to liability. We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or data.
Nothing in these Terms limits our liability for fraud, willful misconduct, or any liability that cannot be limited under UAE law.
13. Indemnification
You will indemnify and hold us harmless against claims arising from your breach of these Terms, your unlawful use of the Service, or your violation of third-party rights.
14. Term & termination
- These Terms apply for as long as you have an active subscription
- You may terminate at any time from account settings
- We may suspend or terminate immediately for material breach (illegal use, non-payment after dunning, security threat)
- On termination: read-only access for 30 days, full data export available, then deletion subject to legal retention
15. Governing law & disputes
These Terms are governed by the laws of the United Arab Emirates. Any dispute will first be addressed through good-faith negotiation. If unresolved within 30 days, disputes are subject to the exclusive jurisdiction of Dubai Courts (for Mainland customers) or the DIFC Courts (for DIFC-registered customers, by mutual election).
16. Changes to these Terms
We may update these Terms. Material changes will be announced by email at least 30 days before the effective date. Continued use after the effective date constitutes acceptance. If you disagree, you may cancel before the effective date for a prorated refund of prepaid annual fees.
